About These Terms

This Site is owned and operated by MGP Manufacturing LLC (“MGP,” “we,” “us,” or “our”), doing business as MicroMeshGutterGuards.com, a manufacturer of premium micro-mesh gutter protection systems. These Terms of Use (the “Terms”) govern your access to and use of the Site and Services in all capacities — whether you are a Business User, a prospective Dealer, a current authorized Dealer accessing the Dealer Portal, or a Consumer visitor.

By accessing or using this Site, you agree to be bound by these Terms, our Privacy Policy, and our Disclaimer, all of which together constitute the complete legal agreement governing your use of this Site. Your access to or use of the Site constitutes your electronic acceptance of these Terms, which has the same legal force and effect as a written, signed agreement. If you do not agree to these Terms, you must not use the Site.

Notice to Consumers. MicroMeshGutterGuards.com is primarily a trade and manufacturer information resource operated by MGP Manufacturing LLC. If you are a homeowner or residential consumer seeking product information, installation quotes, or a dealer referral, we encourage you to visit our branded consumer websites: MasterShield.com and KleanGutter.com. Those sites are designed specifically for homeowners and provide product information, dealer locators, and contact resources tailored to your needs. Consumer inquiries submitted through this Site may be referred to an authorized Dealer in your area. MGP Manufacturing LLC is not a party to any transaction between a consumer and a Dealer, and any such referral does not create a direct relationship between the consumer and MGP Manufacturing LLC.

This Site is intended for users located in the United States. If you are accessing the Site from outside the United States, you do so at your own initiative and are solely responsible for compliance with applicable local laws.

We reserve the right to revise these Terms at any time. When we do, we will update the “Last Updated” date above. Your continued use of the Site after any revision constitutes your acceptance of the updated Terms. We encourage you to review these Terms periodically. For material changes that significantly affect your rights or how we process your information, we will provide at least 30 days advance notice by posting a prominent notice on the Site or by email where we have your contact information on file. Changes will be effective immediately for new users and 30 days after notice for existing users.

1. Nature of This Site — Trade and Manufacturer Resource

MicroMeshGutterGuards.com is a manufacturer and trade information website. Its primary purpose is to provide information about MGP Manufacturing LLC’s products and brand portfolio to prospective and current authorized Dealers, contractors, and trade professionals, and to facilitate the Dealer application and onboarding process.

Content on this Site — including product specifications, technical data, installation guidelines, pricing structures, and trade materials — is intended for use by qualified trade professionals. Nothing on this Site constitutes a consumer offer, retail price quotation, or consumer warranty. Consumers who access this Site are encouraged to visit our branded consumer websites — MasterShield.com, KleanGutter.com, or MicroMaxGutterGuard.com — for consumer-facing product information and dealer referrals.

MGP Manufacturing LLC manufactures and distributes gutter protection products under multiple brand names. Products reach the market through two primary channels: (1) direct authorized Dealers who purchase and install products under a dealer agreement with MGP, and (2) authorized Distributors who purchase products for resale to Dealers, contractors, or other trade customers. In both cases, the end consumer purchases and receives installation services from an independently owned and operated Dealer or contractor, not from MGP Manufacturing LLC directly. MGP Manufacturing LLC is not a party to any transaction between a Dealer, Distributor, contractor, or end consumer.

2. Dealer Independence and Relationship Disclaimer

Products manufactured and distributed by MGP Manufacturing LLC — including products sold under the MasterShield®, Klean Gutter®, MicroMax™, and other current or future brand names — reach the market through independently owned and operated authorized Dealers and authorized Distributors. Each Dealer is a separate legal entity. MGP Manufacturing LLC does not control the day-to-day operations, retail pricing, installation practices, warranties offered to consumers, or customer service policies of any Dealer.

MGP Manufacturing LLC is not a party to any contract, agreement, or transaction between a Dealer and any end consumer. Any dispute arising from a consumer purchase, installation, or service performed by a Dealer is solely between that Dealer and the consumer. MGP Manufacturing LLC expressly disclaims any liability for the acts, omissions, representations, or warranties of any Dealer.

No Agency or Authority. Authorized Dealers are independent businesses and are not employees, agents, partners, franchisees, or representatives of MGP Manufacturing LLC. Dealers have no authority to make representations, warranties, guarantees, or commitments on behalf of MGP Manufacturing LLC and may not bind MGP Manufacturing LLC to any agreement or obligation. Any statements, promises, estimates, warranties, or representations made by a Dealer — including any made in connection with a consumer sales presentation, estimate, or installation — are made solely by that Dealer and are not attributable to MGP Manufacturing LLC. The fact that a Dealer or Distributor uses any MGP brand name, product imagery, or marketing materials does not create any agency relationship or apparent authority to bind MGP Manufacturing LLC. Distributors are independent businesses and are not employees, agents, partners, or representatives of MGP Manufacturing LLC. Distributors have no authority to make representations, warranties, or commitments on behalf of MGP Manufacturing LLC.

3. Dealer Application

3.1 Application Process

Prospective Dealers may submit a Dealer Application through this Site to request authorization to carry and install products manufactured or distributed by MGP Manufacturing LLC. Submission of a Dealer Application does not create any obligation on the part of MGP Manufacturing LLC to approve the application, enter into a dealer agreement, or provide products or services to the applicant.

MGP Manufacturing LLC reserves the sole and absolute right to approve or deny any Dealer Application for any reason or no reason, including but not limited to geographic market considerations, existing dealer coverage, applicant qualifications, business history, financial condition, or any other factor MGP deems relevant. Without limiting the foregoing, MGP Manufacturing LLC may deny an application solely on the basis that the applicant’s proposed territory is already adequately served by one or more existing authorized Dealers, and such a denial shall not constitute unfair dealing, discrimination, or any other actionable basis for a claim. Denial of an application does not create any right of appeal or claim against MGP Manufacturing LLC.

3.2 Accuracy of Application Information

By submitting a Dealer Application, you represent and warrant that all information provided is accurate, complete, and current. You agree to notify MGP Manufacturing LLC promptly of any material changes to the information submitted. Submission of false, misleading, or incomplete information may result in immediate disqualification and, if discovered after approval, termination of the dealer agreement. You further agree not to submit any confidential, proprietary, or trade secret information belonging to any third party — including a former employer or competitor — as part of your Dealer Application. MGP Manufacturing LLC assumes no obligation to maintain the confidentiality of unsolicited third-party information submitted through the application process.

3.3 No Dealer Agreement Until Executed

No dealer relationship, authorization, or right to use MGP’s brands, marks, or products is created by the submission or review of a Dealer Application. A dealer relationship is established only upon the full execution of a written Authorized Dealer Agreement signed by an authorized representative of MGP Manufacturing LLC.

4. Dealer Portal — Access and Confidentiality

4.1 Portal Access

Access to the Dealer Portal is restricted to current authorized Dealers who have executed a valid Authorized Dealer Agreement with MGP Manufacturing LLC. Portal credentials are issued by MGP and are personal to the individual Dealer account. You are responsible for maintaining the confidentiality of your Portal credentials and for all activity that occurs under your account.

You agree to: (a) notify MGP Manufacturing LLC immediately at legal@micromeshgutterguards.com if you suspect unauthorized access to your Portal account; (b) not share your credentials with any person or entity outside your authorized dealership; (c) not permit any former employee, terminated subcontractor, or unauthorized individual to access the Portal using your credentials; and (d) acknowledge that the authorized account holder is responsible for all activity conducted under their Portal credentials, including activity by employees, subcontractors, or other individuals who access the Portal using those credentials, whether or not such access was authorized by the account holder.

4.2 Confidentiality of Portal Materials

All materials accessible through the Dealer Portal — including but not limited to trade pricing, dealer discount schedules, product specifications, installation guides, marketing templates, sales tools, and proprietary business information — are confidential and proprietary to MGP Manufacturing LLC (collectively, “Confidential Portal Materials”).

By accessing the Dealer Portal, you agree that you will:

  • Use Confidential Portal Materials solely for the purpose of selling and installing MGP products under your Authorized Dealer Agreement;
  • Not disclose, reproduce, distribute, or transmit Confidential Portal Materials to any third party without MGP’s prior written consent;
  • Not use Confidential Portal Materials to benefit any competitor of MGP Manufacturing LLC or any competing product line;
  • Immediately cease use of and return or destroy all Confidential Portal Materials upon termination of your Authorized Dealer Agreement; and
  • Acknowledge that unauthorized disclosure of Confidential Portal Materials may cause irreparable harm to MGP Manufacturing LLC for which monetary damages would be an inadequate remedy, entitling MGP to seek injunctive relief in addition to all other available remedies.

4.3 Portal Availability

MGP Manufacturing LLC does not guarantee that the Dealer Portal will be available at all times. We reserve the right to modify, suspend, or discontinue Portal access at any time, with or without notice, and without liability to any Dealer.

5. Permitted Use of the Site

This Site is provided for informational, trade, and business communication purposes. You may access and use the Site solely for lawful purposes and in accordance with these Terms. You agree that you will not:

  • Use the Site in any way that violates applicable federal, state, local, or international law or regulation;
  • Transmit any unsolicited or unauthorized advertising, promotional material, spam, or any other form of commercial solicitation;
  • Impersonate MGP Manufacturing LLC, an MGP employee, an authorized Dealer, or any other person or entity;
  • Attempt to gain unauthorized access to any portion of the Site, the Dealer Portal, its servers, or any system or network connected to the Site;
  • Introduce viruses, trojans, worms, logic bombs, or other malicious or technologically harmful material to the Site;
  • Scrape, harvest, or otherwise collect data from the Site or the Dealer Portal through automated means without our prior written consent, including any attempt to harvest trade pricing, product specifications, dealer lists, or other proprietary materials accessible through the Portal;
  • Access the Dealer Portal without valid credentials or attempt to circumvent Portal security measures; or
  • Interfere with or disrupt the integrity or performance of the Site or the data contained therein.

We reserve the right to terminate or restrict your access to the Site or Dealer Portal at any time, without notice, for any conduct that we believe violates these Terms or is harmful to other users, us, or third parties.

6. Intellectual Property

6.1 Ownership

All Content on this Site is the property of MGP Manufacturing LLC or its content licensors and is protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.

6.2 Trademarks

The MasterShield® name, Klean Gutter® name, MicroMax™ name, MicroMeshGutterGuards.com name, and all other brand names, logos, product names, marks, designs, and trade dress used by MGP Manufacturing LLC — whether currently in use or introduced in the future — are registered or unregistered trademarks of MGP Manufacturing LLC (collectively, the “Marks”). Nothing on this Site should be construed as granting, by implication, estoppel, or otherwise, any license or right to use any Mark without our prior written permission. Unauthorized use of any Mark is strictly prohibited and may constitute trademark infringement, unfair competition, or other violations of law.

No person or entity — including any Dealer — may use the Marks, product names, product images, or other intellectual property of MGP Manufacturing LLC in any manner that falsely suggests affiliation with, sponsorship by, or endorsement by MGP Manufacturing LLC, or in any way that could cause consumer confusion as to the source or origin of any product or service. Authorized Dealers who wish to use the Marks in their own marketing materials must do so in accordance with the brand guidelines provided under their dealer agreement.

6.3 Limited License to Users

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Site and to download or print a single copy of any publicly available Content solely for your personal or internal business use. You may not modify, reproduce, distribute, publicly display, create derivative works from, or otherwise exploit any Content without our prior written consent.

Authorized Dealers are granted a separate license to use certain Content and Marks solely as provided in their Authorized Dealer Agreement and any brand guidelines issued by MGP Manufacturing LLC.

7. Disclaimer of Warranties

THE SITE AND ALL CONTENT ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. To the fullest extent permitted by applicable law, MGP Manufacturing LLC expressly disclaims all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

No Statement on This Site Creates a Product Warranty. No statement, photograph, video, product description, technical specification, performance claim, or other Content on this Site constitutes a product warranty of any kind, express or implied. Product warranties applicable to any MGP product are set forth exclusively in the written product warranty documents provided at the time of purchase through an authorized Dealer or Distributor. Nothing on this Site modifies, supplements, or supersedes those written warranty documents.

Custom and OEM Products. MGP Manufacturing LLC designs and manufactures custom gutter protection and micro-mesh products for specific applications outside of traditional residential gutters, including commercial, industrial, architectural, and OEM applications. Any inquiry regarding custom or OEM product development submitted through this Site does not constitute an offer, specification, or commitment by MGP Manufacturing LLC. Custom and OEM product relationships are governed exclusively by separate written agreements negotiated and executed between MGP Manufacturing LLC and the applicable customer or partner. Nothing on this Site constitutes a specification, price quotation, or warranty for any custom or OEM product.

Trade Specifications. Product specifications, technical data, and installation guidelines published on this Site are provided for trade reference purposes only and are subject to change without notice. MGP Manufacturing LLC does not warrant that specifications are complete, current, or suitable for any particular application. Trade professionals are responsible for independently verifying all specifications before use.

8. User Reliance and Assumption of Risk

Content on this Site is provided for general informational, educational, and trade reference purposes. Business Users are responsible for independently evaluating the suitability of any product, specification, or business opportunity described on this Site for their particular circumstances. MGP Manufacturing LLC makes no representation that any product, program, or opportunity described on this Site is appropriate for any specific market, territory, or business model.

If this Site contains installation diagrams, technical specifications, or instructional content, that Content is provided for trade reference purposes only. Any person who attempts to install, modify, or interact with a gutter system or related components does so entirely at their own risk. MGP Manufacturing LLC expressly disclaims all liability for any injury, property damage, or other harm arising from any attempt to install or modify any product based on Content found on this Site.

9. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, MGP MANUFACTURING LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, AND SERVICE PROVIDERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF, OR INABILITY TO USE, THE SITE OR ITS CONTENT, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

This includes, without limitation, damages for loss of profits, loss of business opportunity, loss of data, loss of goodwill, business interruption, or the cost of substitute products or services, whether based on warranty, contract, tort (including negligence), strict liability, or any other legal theory.

MGP Manufacturing LLC shall not be liable for any damages arising from transactions, agreements, installations, representations, or services performed by any authorized Dealer. Any claim arising from a Dealer transaction must be brought against the Dealer directly and not against MGP Manufacturing LLC.

MGP Manufacturing LLC shall not be liable for any damages arising from the denial of a Dealer Application, the termination of a dealer relationship, or any decision regarding Dealer Portal access.

In no event shall MGP Manufacturing LLC’s total aggregate liability to you for all claims arising out of or relating to these Terms or your use of the Site exceed one hundred U.S. dollars ($100.00).

Some jurisdictions do not allow limitations on liability for certain types of damages. In such jurisdictions, the above limitations apply to the maximum extent permitted by law.
